End User License Agreement (EULA) - Ultimate Cart Recovery

This End User License Agreement (the "EULA") is entered into between VISICREA (SASU with share capital of 100 €, 180 Lotissement du Stade, 42140 Grammond, 902 306 133 R.C.S. Saint-Étienne) ("Visicrea") and any natural or legal person installing or using the "Ultimate Cart Recovery" module (the "Module", "you").

By installing, activating or using the Module, you accept this EULA. If you do not accept these terms, do not install the Module.

1. Licence grant

Subject to full payment and compliance with this EULA, Visicrea grants you a non-exclusive, non-transferable and non-sublicensable licence to use the Module.

2. Scope of rights

You are authorised to:

Install and operate the Module in production on one (1) domain declared and activated via your licence key;
Install it without limitation on your development, testing, pre-production and local environments (hosts containing staging, dev, preprod, test, local, localhost, or in developer mode);
Configure the Module and customise email templates, rules and settings through the intended interfaces;
Make backup copies for business continuity purposes.

3. Restrictions

You shall not:

Resell, rent, lend, redistribute or publish the Module or all or part of its code;
Modify, decompile, disassemble or reverse engineer the code beyond the intended configuration, except within the mandatory limits permitted by law (interoperability, Article L122-6-1 CPI);
Circumvent, disable or alter the licence mechanism or the online verification;
Remove or conceal proprietary notices (Visicrea copyright, notices) present in the code, the interface or the documentation;
Use the Module on a number of production domains greater than the number of licences acquired.

4. Intellectual property

The Module is protected by copyright and remains the exclusive property of Visicrea. This EULA transfers no ownership rights, only a right of use. All customisations you make through the configuration remain subject to this EULA.

5. Updates and support

The licence includes 12 months of updates and support from the date of purchase.
The updates provided are governed by this EULA.
Beyond the 12 months, access to updates and support is conditional upon annual renewal (25% of the licence price). The Module remains functional without renewal, but no longer receives updates or support.

6. Data and compliance

The Module assists with the recovery of abandoned carts via communication channels (email, SMS, etc.). You are solely responsible for the lawfulness of your campaigns: collection of consents, compliance with the GDPR and the rules on solicitation (in particular Article L34-5 CPCE), and management of unsubscribes.
Visicrea acts as a processor for the data of your end customers processed via the licence server; the terms are set out in the DPA.

7. Licence verification

The Module periodically communicates (once every 24 h) with the Visicrea server to validate the licence. In the absence of a response, a 7-day grace period applies, followed by an escalating warning banner for 30 days. Beyond that, sending functions are disabled; reading of data and the dashboard remain accessible. No personal data of your end customers is transmitted during this verification.

8. Warranty and liability

The Module is provided "as is". Within the limits permitted by law, Visicrea excludes any implied warranty of fitness for a particular purpose. The liability of Visicrea is limited under the conditions provided for in the Terms and Conditions of Sale.

9. Termination

This EULA is automatically terminated in the event of a breach of its terms, in particular the alteration of the licence mechanism or the removal of proprietary notices. In the event of termination, you must cease all use and uninstall the Module. No refund is due.

10. Governing law

This EULA is governed by French law. Any dispute falls within the jurisdiction of the courts of Saint-Étienne (jurisdiction of the registered office), subject to the mandatory rules applicable to consumers.
