General Terms and Conditions of Sale - Ultimate Cart Recovery

Article 1 - Identity of the seller
This website and the "Ultimate Cart Recovery" software are published by:

Hereinafter "Visicrea" or "the Seller".
Article 2 - Purpose
These General Terms and Conditions of Sale (GTC) govern the sale, by Visicrea, of licences to use the "Ultimate Cart Recovery" software module for the Adobe Commerce / Magento Open Source platform (hereinafter "the Module"), together with the associated services (updates, support).
Any order implies unreserved acceptance of these GTC, which prevail over any other document. The Customer acknowledges having read them and having accepted them before confirming their order (mandatory checkbox).
Article 3 - Product and price
- The Module is sold at the price of 129 € excl. VAT per production domain.
- Prices are stated in euros, excluding tax. Applicable VAT is added at the rate in force; for EU business customers holding a valid intracommunity VAT number, reverse charge applies.
- The licence includes 12 months of updates and support. Thereafter, annual renewal is offered at 25% of the licence price.
- Visicrea reserves the right to change its prices at any time; the applicable price is the one in force on the date of the order.
Article 4 - Order and payment
- The order is placed via the online portal and paid by bank card (Stripe) or PayPal account.
- Payment is due in full on order.
- The order is final only after payment has been actually received.
- An electronic invoice is made available to the Customer in their personal account area.
Article 5 - Delivery and activation
- On confirmation of payment, the Customer receives their licence key and installation instructions by email.
- The Module is delivered as a downloadable package (and/or via Composer).
- Activation binds the licence to one (1) production domain. Development, staging and local environments do not consume the licence.
- The Module performs a periodic online licence check (once every 24 h) with the Visicrea server. A 7-day grace period applies if the server is unavailable.
Article 6 - Right of withdrawal
In accordance with Article L221-28, 3° of the Consumer Code, the right of withdrawal does not apply to the supply of digital content not supplied on a tangible medium where performance has begun after the Customer's prior express agreement and express waiver of their right of withdrawal.
By confirming their order and downloading/activating the Module, the Customer expressly consents to immediate performance and expressly waives their right of withdrawal.
This provision concerns consumers; as the majority of Customers are businesses, the right of withdrawal is in principle not available to them.
Article 7 - Warranties
- Visicrea warrants that the Module conforms to its published description.
- Visicrea uses its best efforts to correct, within a reasonable time, any reproducible malfunction reported during the support period.
- The Module is provided "as is" as regards its compatibility with customisations, third-party modules or non-standard themes, which cannot give rise to Visicrea's liability.
- The legal warranties of conformity and for hidden defects (Articles 1641 et seq. of the Civil Code) apply under the conditions provided by law.
Article 8 - Limitation of liability
- Visicrea's liability, whatever the cause, is limited to the amount actually paid by the Customer for the licence concerned.
- Visicrea shall not be liable for indirect damages (loss of turnover, data, customers, commercial loss).
- The Customer remains solely responsible for backing up their data and for the compliance of their use of the Module with applicable regulations (in particular regarding commercial prospecting and data protection).
Article 9 - Licence transfer
The Customer may change the production domain associated with their licence up to three (3) times per twelve (12) month period, via their customer area or on request to support.
Article 10 - Refunds
As the Module is digital content that is downloaded and activated, no refund is due after delivery. As a goodwill gesture, Visicrea may offer a refund in the event of a blocking malfunction that it has not been able to correct within a reasonable time.
Article 11 - Intellectual property
The Module, its source code, its documentation and its trademarks remain the exclusive property of Visicrea. The sale grants the Customer a non-exclusive and non-transferable right of use, within the limits of the EULA. Any unauthorised reproduction, resale or redistribution is prohibited.
Article 12 - Termination
In the event of the Customer's failure to perform their obligations (in particular non-payment of a renewal, breach of the EULA, removal of proprietary notices), the licence may be suspended or revoked automatically, without refund.
Article 13 - Personal data
The processing of personal data is described in the Privacy Policy. Where the Customer uses the Module to process data of its own customers, the parties enter into the Data Processing Agreement (DPA).
Article 14 - Force majeure
Neither party shall be liable for a failure resulting from a force majeure event within the meaning of Article 1218 of the Civil Code.
Article 15 - Governing law and jurisdiction
These GTC are governed by French law. Failing amicable resolution, any dispute shall fall under the exclusive jurisdiction of the courts of Saint-Étienne (jurisdiction of the registered office), including in the event of multiple defendants or third-party proceedings. For disputes with a consumer, the statutory rules of jurisdiction apply.
Article 16 - Changes to the GTC
Visicrea may amend these GTC. The applicable version is the one in force on the date of the order. Previous versions are archived and available on request.
